- Diginex will acquire Resulticks in a $1.05 billion all-share transaction, creating a global enterprise platform spanning sustainability data and AI-powered customer engagement.
- Resulticks reported $150 million in FY2025 revenue and $17 million in profit after tax, with annual growth above 60% since the pandemic.
- The combined business has secured $70 million in private funding and is targeting completion by October 30, 2026, subject to shareholder, Nasdaq and regulatory approvals.
Diginex and Singapore-based Resulticks have signed an amended definitive agreement for a $1.05 billion combination designed to link trusted sustainability data with real-time, AI-powered customer engagement.
The deal would substantially reshape Nasdaq-listed Diginex. Resulticks’ shareholders and investors are expected to own about 86% of the enlarged company at completion.
The transaction is expected to close on October 30, 2026. It remains subject to shareholder approval, Nasdaq clearance, regulatory consents and several financing conditions.
Under the amended and restated sale and purchase agreement, Diginex will acquire 100% of Resulticks’ equity.
Consideration will be paid through 600 million newly issued Diginex ordinary shares. The shares are priced at an agreed $1.75 each, valuing Resulticks at $1.05 billion.
Resulticks generated $150 million in revenue during FY2025 and recorded $17 million in profit after tax. Its compound annual growth rate has exceeded 60% since the pandemic.
The company provides AI-powered customer engagement technology to major global enterprises, including Fortune 1,000 brands. Its platform helps companies combine customer data, coordinate communications across channels and make real-time decisions using AI and analytics.
Diginex focuses on ESG, sustainability and compliance software. Its technology supports corporate and government reporting across climate, supply chains, regulatory disclosures and sustainable finance.
The companies plan to combine those capabilities into a broader enterprise intelligence platform.
$70 Million Funding Backs Expansion
Private investors have committed $70 million in new funding to support the transaction and enlarged business.
At least $20 million is expected to be invested directly into Diginex. A further minimum of $50 million will be invested in connection with Resulticks at completion.
The capital is intended to fund operations, integration and future expansion.
Diginex said the combined company would have a broader international footprint. Resulticks has operations across North America, Asia and the Middle East, while Diginex is based in London and operates across Europe.
For enterprise customers, the strategic aim is to connect ESG and regulatory information with the systems companies use to communicate with customers.
Redickaa Subrammanian, co-founder and CEO of Resulticks, said: “This combination brings together two powerful capabilities that are becoming increasingly important for every enterprise. Diginex enables organisations to capture and manage trusted ESG, sustainability and regulatory data, while Resulticks transforms that data, together with internal and external customer intelligence, into real-time customer engagement through Genie, our agentic AI platform.”
Governance Shifts With Change of Control
The transaction will also produce significant governance changes.
Subrammanian will become CEO of the combined company. Diginex Chairman Miles Pelham will step down, while the board will be reconstituted with directors designated by Resulticks shareholders.
The ownership shift requires Diginex to submit an initial listing application to Nasdaq under its change-of-control rules.
Pelham said: “When we brought Diginex to Nasdaq, the ambition was always larger than any single product, to build a listed platform capable of real scale. This transaction represents that ambition taking shape. Resulticks brings proven technology, an enterprise customer base across three continents, and founders who have built their business with focus and conviction.”
Existing Diginex ESG services are expected to continue without disruption, according to the company.

Sustainability Data Moves Closer to Customer Strategy
The deal reflects a broader challenge facing corporate sustainability teams. ESG data increasingly sits alongside financial, operational and customer information rather than functioning as a standalone reporting exercise.
Lubomila J. Said of Diginex wrote that Resulticks could help translate trusted sustainability information into enterprise action.
“For years, we’ve built Plan A, Matter and The Remedy Project on a simple conviction: that trusted data is the foundation of real accountability, in carbon, in investment intelligence, in human rights remediation.”
For executives and investors, the transaction brings both opportunity and execution risk. The combined company gains scale, funding and exposure to enterprise AI adoption. It must also integrate two distinct technology businesses while navigating a major ownership and governance transition.
If completed, the group would sit at the intersection of two fast-developing corporate priorities: credible sustainability information and AI-driven customer intelligence. That convergence could determine whether ESG data remains largely a compliance function or becomes more deeply embedded in commercial decision-making.
