osapiens deepens U.S. compliance footprint

osapiens has completed the acquisition of the Nasdaq Metrio platform and its customers, strengthening its position in U.S. corporate compliance, sustainability reporting and carbon accounting.

The transaction brings Nasdaq Metrio’s established North American customer base onto the osapiens HUB. The platform is designed to help companies manage regulatory reporting, supplier intelligence and supply chain data through a single system.

Nasdaq Metrio provides enterprise non-financial reporting and carbon accounting software. Its platform supports major disclosure frameworks and standards, including CDP, GRI, IFRS and SASB.

It also covers emerging regulatory requirements such as California’s climate disclosure laws. Audit-grade data management is intended to help companies maintain reporting controls as sustainability rules continue to evolve.

For corporate sustainability teams, that regulatory breadth is becoming more important. Disclosure requirements are expanding across jurisdictions, while companies face pressure to maintain consistent data across regulatory, investor and operational reporting.

AI to reduce duplicate compliance work

The acquisition will integrate Nasdaq Metrio customers into the osapiens HUB, where companies can collect information once and reuse it across multiple compliance requirements.

That model is intended to reduce duplicate data requests across carbon accounting, supplier due diligence and product compliance.

osapiens also plans to apply artificial intelligence across the platform to automate more of the reporting process. The company expects this to reduce manual work and improve operational efficiency.

The broader platform extends beyond sustainability disclosure. It includes supplier intelligence, product compliance and traceability capabilities.

For multinational companies, that integration could help connect sustainability reporting with wider supply chain risk management. It could also improve supplier response rates and reduce repeated data collection across business functions.

“Very few acquisitions fit this precisely. More than 2,500 customers already run and automate their compliance processes and conduct supplier intelligence on the osapiens HUB, with non-financial reporting and carbon accounting being centrally integrated. With the acquisition of the Nasdaq Metrio platform and customers, we are now able to further deepen our functionalities to offer even greater value to our customers. At the same time, it allows us to accelerate our entry into the U.S. market.” Matthias Jungblut, Co-CEO, osapiens

U.S. growth follows unicorn funding round

The transaction comes after osapiens reached unicorn status through an investment round led by Decarbonization Partners, a joint venture between BlackRock and Temasek. Goldman Sachs is also an investor in the company.

Nasdaq Metrio gives osapiens an established base of enterprise customers in North America, where most of Metrio’s clients are located.

That provides osapiens with local reference customers as it invests further in the U.S. market. It also gives the company additional scale in an increasingly competitive market for sustainability data and regulatory technology.

Nasdaq said the transaction will allow it to focus more closely on its core investor relations and governance offerings for listed companies.

“The Nasdaq Metrio platform has become a leader for non-financial reporting and carbon accounting in North America. With osapiens, we have found a partner for Nasdaq Metrio that will ensure that customers continue to be served by a platform with the strategic focus and comprehensive capabilities that will meet their needs today and into the future. This transaction will allow Nasdaq to focus on providing our listed and corporate clients with solutions in which we have unique expertise in Investor Relations and Governance to support the public company experience.” Michael Bartels, SVP, Capital Access Platforms, Nasdaq

What executives and investors should watch

Financial terms of the transaction were not disclosed. Evercore is acting as financial adviser to Nasdaq.

Hogan Lovells and Cadwalader are advising osapiens, while Skadden is advising Nasdaq on the transaction.

For executives, the deal reflects the growing convergence between sustainability reporting, supply chain compliance and enterprise data management.

Companies increasingly need systems that can support several regulatory regimes without rebuilding the same datasets for each requirement.

For investors, the transaction also highlights continued consolidation in sustainability technology. Providers are broadening beyond standalone carbon accounting toward integrated platforms covering disclosure, supplier risk and regulatory compliance.

That shift is particularly relevant in the United States, where state-level climate rules, investor expectations and global reporting standards are increasing demand for more reliable corporate sustainability data.
